1. Service Definition & Scope
Elite Time Management & Productivity Training (‘Company’) provides consulting services, digital courses, and software tools (‘Services’). These Terms govern all use. By accessing Services, you accept these Terms. If you are an entity, you represent that you have authority to bind.
2. User Obligations
- Provide accurate registration information and keep credentials confidential
- Not use Services for unlawful purposes or to infringe intellectual property
- Not reverse engineer or copy curriculum materials without explicit license
- Comply with all applicable laws, including CAN-SPAM for use of our communication tools
3. Intellectual Property Rights
All course content, frameworks (including ADEPT), software, and documentation are proprietary. A non-exclusive, non-transferable, revocable license is granted for personal or internal business use. Reproduction or distribution prohibited without written consent.
4. Payment Terms & Refund Policy
- Fees due upfront for digital products; installment plans available for cohorts
- Refunds: Full refund within 14 days of purchase if less than 50% of content accessed
- Enterprise contracts invoiced net-30; late fees of 1.5% monthly apply
- All prices exclude applicable sales tax
5. Cancellation & Termination
Either party may terminate with 30 days written notice. For breach, the non-breaching party may terminate immediately. Upon termination, license ceases, and proprietary materials must be returned/destroyed.
6. Limitation of Liability
To the maximum extent permitted by law, Company’s aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim. Company is not liable for indirect, incidental, or consequential damages, including loss of productivity or profits.
7. Dispute Resolution & Governing Law
Governing law: Delaware, USA. Disputes resolved via binding arbitration under JAMS rules; class actions waived. For claims under $10,000, you may choose small claims court. Language of arbitration: English.
8. Force Majeure
Company not liable for delays due to unforeseen circumstances beyond reasonable control, including natural disasters, war, internet outages, or pandemics.
9. Entire Agreement & Severability
These Terms constitute the entire agreement. If any provision is found unenforceable, the remainder remains in effect. Waivers must be in writing.
